CEO Pay Ratio Must Be Disclosed by 2018 Companies will have to provide investors with a ratio showing how the median pay of their workforce squares with their chief executive officers’ compensation, according to new rules adopted by U.S. securities regulators on Wednesday. Under the Securities and Exchange Commission’s final rules, companies will get some flexibility in how they find the median. For instance, they can exclude 5% of their overseas workers when arriving at the number and use statistical sampling. However, those changes did not assuage corporate trade groups, which have opposed any rule and are widely expected to file a legal challenge. The SEC has been under mounting pressure by Democrats, like Massachusetts Senator Elizabeth Warren and unions such as the AFL-CIO, who support the rule and have lamented delays in its adoption. The measure was tucked into the 2010 Dodd-Frank law amid concerns about the growing disparity between compensation for chief executives and their corporate workers. “Pay ratio disclosure should provide a valuable piece of information to investors,” said Democratic Commissioner Kara Stein said. Republicans and trade groups like the U.S. Chamber of Commerce have fought back against the measure at every turn, saying it will be too expensive, could mislead investors and is not material to a company’s financial statements. The Chamber has urged the SEC to defer working on the rule at all, and it called for permitting companies to disclose the ratio in an addendum instead of formal filings in order to reduce their liability. “This rule is more harmful than helpful,” David Hirschmann, head of the Chamber’s Center for Capital Markets Competitiveness, said in a statement. He said the Chamber would explore options to “clean up the mess” it believes the rule has created. Both SEC Republican commissioners also opposed the rule on Wednesday. “To steal a line from Justice Scalia: This is pure applesauce,” said Republican Commissioner Daniel Gallagher. Companies will have to start reporting the new pay ratio disclosures in the first fiscal year beginning on or after Jan. 1, 2017. Heather Slavin Corzo, a director at the AFL-CIO, said she was pleased that the SEC completed the rule but remained concerned about “weaknesses that could lead to loopholes,” including letting companies exclude a portion of their overseas workers from the median. This is an effective tactic to calm those who are upset, but we rarely expect to need to use this skill during a job interview.Lack of InformationYou might be asked questions that are impossible to answer without more information. For example, you may be asked to plan a complex event or prioritize a list of tasks. This is a test of confidence. Are you courageous enough to ask questions of an authority figure? The approach here is exactly the same as a traditional interview. If you dont understand the question, ask for clarification. Its okay to check to be sure that you understand the variables at play. You are worthy of receiving the right information to perform your job (which in this case is to nail the interview) correctly.Distraction / InterruptionThe interviewer may appear distracted or try to distract you by loudly typing or tapingherpen, interrupting you, or asking you to repeatyourselfmultiple times. (I know this sounds like a total nightmare, right?) Do your best to focus on the question at hand in these situations. In an interview, you may already be a little on edge and distractions or discourteous behaviour could easily be the straw that breaks the camels back in terms of stress. Take a deep breath, tune in to what the interviewer is saying and politely repeat yourself as necessary. Remember, its okay to ask the interviewer to repeat a question or to take a breath before answering.Role PlaysRole plays are an opportunity to introduce some hostile tactics without keeping the confrontational behavior up thro ughout the entire meeting. In these cases, you might be asked how youd handle a tricky situation with an employee, customer or vendor. This scenario quickly escalates with the interviewer pushing back on or criticizing your responses to see if you will stand firm in your answer or bend under pressure. Remember that this is a role play, so treat it as such. Take yourself out of the interviewee role and put your best expert hat on. Consider what you would do if an actual customer were speaking to you this way. Remember, you probably wouldnt tell a client to bugger off no matter how bad things escalated.
